Limitation of Liability & Product Disclaimer

1. Acceptance of Terms
By purchasing, installing, or using any product sold by Windward Industries LLC (“Windward Industries,” “we,” “us,” or “our”), the purchaser (“Customer,” “you”) agrees to the terms below.
2. Assumption of Risk
Installation, modification, and use of automotive parts carry inherent risks, including but not limited to property damage, vehicle malfunction, and personal injury. By purchasing a product from Windward Industries, Customer voluntarily assumes these risks.
3. Product Fitment & Compatibility
Product listings indicate intended vehicle applications (make, model, generation, or chassis code). Customer is responsible for verifying fitment and compatibility with their specific vehicle prior to purchase and installation. Windward Industries is not liable for costs, damages, or losses arising from a part that does not fit or is incompatible with Customer’s vehicle.
4. Used & Take-Off Parts
Some products are sold as used, take-off, or open-box items. These are sold in the condition described in the listing, without warranty as to remaining service life, unless otherwise stated at the time of sale. Customer is responsible for inspecting used parts prior to installation.
5. Installation
Windward Industries sells parts only and does not perform, supervise, or provide installation services of any kind. Installation is performed solely by the Customer or by a third party — including any repair shop — selected and retained by the Customer, and is in no way performed, supervised, or warranted by Windward Industries. Windward Industries is not responsible for damages, losses, or injuries resulting from installation of its products, regardless of who performs it. This applies with particular importance to safety-critical components (brake, suspension, or fuel-system parts); Windward Industries strongly recommends installation of such components by a qualified, licensed professional.
6. Performance Parts & Emissions Compliance
Certain products (including performance tunes, controllers, and exhaust components) may affect vehicle emissions output, sound levels, or street-legal status in some jurisdictions. Customer is solely responsible for determining whether a product is legal for street use in their state or locality, including compliance with applicable emissions testing requirements. Windward Industries makes no representation as to street-legality in any specific jurisdiction.
7. Misuse
Windward Industries is not liable for damages, losses, or injuries resulting from misuse, abuse, unauthorized modification, or use of a product in a manner inconsistent with its intended purpose or with accompanying instructions and warnings.
8. Limitation of Liability
To the fullest extent permitted by law, Windward Industries’ total liability arising from any product sold shall not exceed the purchase price paid by Customer for that product. Windward Industries shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, loss of use, or damage to a vehicle or other property — even if advised of the possibility of such damages.
9. Disclaimer of Warranties
EXCEPT AS EXPRESSLY STATED AT THE TIME OF SALE, PRODUCTS ARE SOLD “AS IS.” WINDWARD INDUSTRIES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE FULLEST EXTENT PERMITTED BY LAW.
10. Indemnification
Customer agrees to indemnify and hold harmless Windward Industries, its members, officers, and employees from any claims, damages, liabilities, or expenses (including reasonable attorneys’ fees) arising from Customer’s installation, use, or misuse of any product purchased.
11. Governing Law
These terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles.
12. Severability
If any provision of these terms is found unenforceable, the remaining provisions remain in full force and effect.
